Candidate Statement Builder – Terms of Use

PLEASE READ THESE TERMS OF USE (THIS “AGREEMENT”) CAREFULLY. SET FORTH BELOW ARE THE TERMS UNDER WHICH SURVEY & BALLOT SYSTEMS, INC. (“SBS”) MAKES THE CANDIDATE STATEMENT BUILDER (THE “TOOL”) AVAILABLE TO USERS (“USER”).

BY ACCESSING OR USING THE TOOL, USER AGREES TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE TOOL.

SBS may modify this Agreement from time to time without notice. The updated version will be posted with a revised date. Continued use of the Tool constitutes acceptance of any changes.

This Agreement constitutes the entire agreement between User and SBS regarding the Tool and supersedes all prior understandings.

The Tool is a free, publicly available drafting aid that uses artificial intelligence to generate candidate statements using User to input information (such as background, professional experience, and goals) and generate a candidate statement for informational and drafting purposes only.

The Tool is intended solely as a convenience and drafting aid and does not constitute professional, legal, governance, or election advice.

User represents that:

• If an individual, they are of legal age in their jurisdiction; or
• If acting on behalf of an organization, they are authorized to do so.

The Tool is provided free of charge. Your use of the Tool does not create any commercial relationship, fiduciary duty, agency relationship, or professional services engagement with SBS. SBS reserves the right to modify, suspend, or discontinue the Tool at any time without notice.

USER IS SOLEY RESPONSIBLE FOR ALL INPUT, OUTPUT AND USE OF OUTPUT. User acknowledges, agrees, and represents that the User is solely responsible for all information entered into the Tool (“Input”), any resulting generated content (“Output”), and any use of such Output.

User represents and warrants that all Input is accurate and does not violate any law or third-party rights and the User has the right to provide such Input.

Generated Output may not be accurate, complete, or appropriate for any specific candidate, organization, or governing documents. Users must independently review, edit, and approve all Output before use. SBS does not verify or validate Input or Output and assumes no responsibility for its accuracy or appropriateness. Any changes, modifications, or other revisions to the Input or Output data shall be made by the User’s sole discretion.

Subject to this Agreement, SBS assigns to User any rights it may have in the Output. User is solely responsible for reviewing and determining appropriate use of the Output.

The User:

• Shall not create false, misleading, or deceptive candidate statements.
• Shall not impersonate any person or entity or misrepresent affiliation.
• Shall not generate content that is unlawful, defamatory, abusive, harassing, or fraudulent.
• Shall not infringe on intellectual property or privacy rights.
• Shall not promote discrimination, hate, or harmful conduct.
• Shall not distribute malware or attempt to disrupt or compromise the Tool.
• Shall not reverse engineer, decompile, copy or attempt to extract the underlying technology of the Tool, except as permitted by law.
• Shall not use the Tool for commercial resale or exploitation.
• Shall not use the Tool for any purpose that could undermine governance processes.

SBS reserves the right to monitor usage and restrict access at its sole discretion.

User agrees not to access or use the Tool through automated means, including but not limited to bots, scripts, crawlers, or scraping technologies, for the purpose of generating Output in bulk or at a volume that exceeds normal individual use.

User shall not:

• Submit excessive or repetitive requests designed to overload, disrupt, or degrade the performance of the Tool;
• Circumvent or attempt to circumvent any usage limits, access controls, or protective measures implemented by SBS;
• Use the Tool to generate Output at scale for commercial, bulk, or systematic distribution purposes.

SBS reserves the right to implement and enforce rate limits, usage caps, and technical restrictions at its sole discretion. SBS may suspend, restrict, or terminate access to the Tool without notice for any activity that it determines, in its sole judgment, to be automated, abusive, or inconsistent with intended use.

The Tool relies on artificial intelligence systems and may incorporate third-party technologies.

User acknowledges that Output is generated based solely on User-provided Input, Output may contain errors, omissions, or unintended language, and Output may resemble content generated for other users.

SBS makes no guarantees regarding originality, accuracy, or suitability of Output.

The Tool is experimental in nature and may not perform as intended. Features and functionality may change at any time without notice.

SBS retains all rights, title, and interest in and to the Tool and underlying technology, algorithms, and processes.

User retains ownership of their Input. SBS does not claim ownership of User-provided information.

By using the Tool, User grants SBS a non-exclusive, limited right to process Input solely for the purpose of providing the Tool.

Use of the Tool is subject to SBS’ Privacy Policy. SBS may collect and process Input data to provide and improve the Tool, monitor for misuse or abuse, and ensure system performance and security. Users should not submit sensitive or confidential information unless they are comfortable doing so under the Privacy Policy. SBS may use third parties to store data Input and Output.

While SBS takes reasonable measures to protect data, no system is completely secure. SBS does not guarantee the security of User data and disclaims liability to the extent permitted by law for unauthorized access, loss, or alteration. SBS is in no way liable for loss of User’s data whether stored by SBS or third party.

The Tool and Output are provided for informational purposes only. User shall not rely on Output as legal, compliance, or professional advice. SBS disclaims any responsibility for:

• Election outcomes.
• Any decisions made based on Output.
• Regulatory or legal violations.
• Reputational or financial impacts.
• Governance decisions.
• Candidate positioning or messaging effectiveness.

User is solely responsible for reviewing Output and ensuring compliance with:

• Organizational rules.
• Bylaws.
• Legal or regulatory requirements.

User acknowledges that use of the Tool and any Output is at User’s own risk. SBS shall have no responsibility or liability for how Output is used in any election, nomination, or governance process.

SBS is not responsible for compliance of any Output with the requirements of any third party, including but not limited to election administrators, associations, or governing bodies.

THE TOOL IS PROVIDED “AS IS” AND “AS AVAILABLE.” SBS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ACCURACY OR RELIABILITY OF OUTPUT, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SBS SHALL NOT BE LIABLE WHATSIEVER FOR ANY DAMAGES, INCLUDING INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOSS OF USE, DATA, OR REPUTATION, OR RELIANCE ON GENERATED OUTPUT EVEN IF SBS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SBS’ TOTAL LIABILITY SHALL BE ZERO U.S. DOLLARS ($0).

User agrees to indemnify and hold SBS harmless from any claims, damages, losses, liabilities, costs, and expenses (including attorneys fees), arising from User’s use of the Tool, User’s Input of information or Output information, violation of this Agreement, or violation of any applicable laws or third-party rights.

SBS may suspend or terminate access to the Tool at any time for any reason, including misuse or violation of these Terms.

Entire Agreement: This is the complete agreement between Ueer and SBS.
Privacy Policy. By using this Tool, User is agreeing to be subject to SBS’ Privacy Policy.
Governing Law. This Agreement is governed by the laws of the State of Minnesota, USA, without regard to conflict of laws.
Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
Force Majeure. SBS shall not be liable for failure or delay due to causes beyond its reasonable control, including outages, cyber incidents, or acts of God.
